Act when you get mail from PRH
Businesses ought to keep their Trade Register data up to date.
Since the start of 2025, the Patent and Registration Office (PRH) has been able to fine companies that fail to correct deficient or erroneous Trade Register records, despite having received notices to do so.
The fine can be levied on companies of all types, and amounts to €300. The fine is €600 for public limited companies and SEs.
When would the fine be issued? First, the PRH sends the business a notice urging the business to rectify the deficiency or error in its Trade Register data records by a certain date. If the business does not rectify the deficiency or error by the due date in the notice, the PRH fines the business.
Deficiencies in the Trade Register
The PRH may issue a fine if, for example:
no address is listed
no board is registered
there is no information on beneficial owners
there are errors in register information (for example, the board is not legal, or the auditor does not hold an HT or KHT qualification)
a responsible person or auditor is prohibited from conducting business
no personal identification number is filed with the Trade Register
Fine may be doubled
If a business does not correct its information after the first fine, the PRH sends the business a new notice. If the business does not correct its information even after receiving this new notice, the PRH issues and new fine, twice as large as the first one.
The fine is based on the Trade Register Act, which sets the amounts of the fines.
The PRH says that missing information must be filed as soon as the business has received a notice from the PRH. The PRH sends notices in the post to the address listed in the business information system (YTJ) and stresses that businesses should keep their addresses up to date in the Trade Register.
